MANUFACTURER WARRANTY

1.0 DEFINITIONS

1.1. The warrantor for the limited warranties set forth herein is Sungrow Power Supply Co., Ltd. (“SUNGROW”).

 

1.2. The “Product” means units, devices, or equipment (shown in 2.3) manufactured by SUNGROW and purchased from SUNGROW or its qualified distributors by End-users.

 

1.3. The “Warranty” means this limited warranty contract for SUNGROW Product.

 

1.4. “End-user” or “Warranty Holder” means the owner of the Product for which Service will be performed.

 

1.5. “Manual” means the current SUNGROW installation, operation and maintenance guide for the Product covered under this Warranty.

 

1.6. “Site” means the location of End-user's Product that is covered under this Warranty.

 

1.7. “Warranty Period” means the period the Product is covered under this Warranty.

 

1.8. “Defective Product” means a product is defective if it is inoperable because of defects in material and workmanship, provided that SUNGROW, through inspection, establishes the existence of that defect.

 

 “Claimant” means the End-user or his/her legal representative that makes a formal request or demand for the enforcement of rights under the warranty

2.0 LIMITED WARRANTY

2.1. SUNGROW warrants that the Product will be free from defects in materials and workmanship for the Warranty Period (shown in 2.3) from the Warranty Commencement Date, provided that the Product is used in accordance with the operating conditions specified in the SUNGROW Manual. This warranty is offered free of charge.

 

2.2. The Warranty Period for the Product shall commence from the date of purchase as indicated on the invoice, or from the date of first installation is completed, provided that an appropriate written document is available. In the absence of both these documents, the warranty period will begin six months after the product's shipping date from SUNGROW factory provided by SUNGROW, as recorded in Sungrow's internal database.

 

2.3. Product List and Warranty Period

Remark:

1) Unless otherwise stated on the quotation, all warranty and extended warranty periods are as specified above;

2) Subject to the trading countries/states, End-user may receive an additional warranty promise (should be at least equivalent to the Warranty) which is provided by SUNGROW’s local distributor; Should any claims arise in this respect out of Warranty Period, End-user shall direct the claims to the local distributor.

3) For the Product with enclosures that do not meet the C5 anti-corrosion standard, if the product is installed outdoors and within a direct distance of 2-5 kilometers from the sea, the standard warranty for PCS, transformers, and switchgear cabinets will be limited to 2 years. If the product is installed within 2 kilometers from the sea, the warranty will be void.

4) For products with enclosures that meet the C5 anti-corrosion standard, if the product is installed outdoors and within a direct distance of 500 meters from the sea, the standard warranty for PCS, transformers, and switchgear cabinets will be limited to 2 years;

5) The warranty does not cover consumables (referring to components or parts with limited lifespan or require periodic replacement) including but not limited to fuse, circuit breaker, coolant, lubricant, filter, sensor, connector, seals, gasket, bulb, fan.

 

2.4. During the Warranty Period, SUNGROW provides full lifecycle services for the Product, including upgrades and replacements. If the Product is discontinued, SUNGROW reserves the right to determine, on a case-by-case basis, whether to provide a new product as a replacement within the Warranty Period.

 

2.5. Units of Product within the same power plant or project site shall have the warranty extension purchased simultaneously.

 

2.6. The extended warranty can be purchased from SUNGROW at the time of the initial purchase or no later than 12 months before the end of the Product's warranty period (prices may vary). If the warranty has already expired, Sungrow will decide on a case-by-case basis whether to offer extended warranty services.

 

2.7. If the extended warranty is purchased within the Warranty Period, the End-User must submit all maintenance documents/logs for the Product to the SUNGROW. Otherwise, SUNGROW reserves the right to deny the extension of the warranty.

3.0. Warrantor’s Obligation

3.1. Warrantor’s Obligation

If the Product is defective due to materials or workmanship within the Warranty Period, SUNGROW will provide the necessary materials (replacement parts or an equivalent replacement) to the End-user for repair. For the Product which is not repairable, SUNGROW guarantees to provide, at its discretion, a new or refurbished replacement with performance equal to or higher than that of the defective product.

 

3.2. Out-of-Warranty Service

If the Product is defective but not covered under warranty, SUNGROW will, at its discretion, offer a paid repair. The End-user may contact SUNGROW to organize the paid repair service. SUNGROW will provide a quotation covering inspection, labor, freight, materials, waste disposal, and management costs for the repair. SUNGROW warrants the workmanship of the repair for six (6) months.

 

3.3. For any Product repaired or replaced under the Warranty, the remaining warranty period of the original Product will be transferred to the replacement Product. SUNGROW will register the transfer of the warranty entitlement.

 

3.4. SUNGROW may, at its option, use new and/or reconditioned parts, and/or parts of the original or a subsequent design, in repairing or replacing the Defective Product.

 

3.5. In the event of a quality issue or performance failure with the Product, SUNGROW requires access to the performance data and log history of the Product over the internet to assess the Product’s condition.

 

3.6. Warranty rights could be transferred to subsequent owners during the Warranty Period, including any subsequent authorized operators or lessees at the same location. The new End-User, namely non-purchasers, must sign and submit a warranty transfer agreement to SUNGROW (The template of warranty transfer agreement could be accessed from SUNGROW after-sales team).

 

3.7. If the installed Product is relocated to another site, the continuation of warranty services will depend on an on-site inspection by SUNGROW at the new location before installation, with the final cost borne by the End-User.

 

3.8. In the event of a dispute between SUNGROW and End-User regarding the responsibility for defects, both parties shall mutually agree to select a third-party organization for testing. Prior to any testing, both parties must agree on the tests to be conducted to determine the product defect. If the test results do not confirm that the defect is covered in Warranty, the costs incurred for the testing shall be borne by the End-User.

 

3.9. The Warranty policy is the standard warranty provided by SUNGROW for the standard Product. SUNGROW reserves the right to offer special warranty conditions. In that case, these special conditions will be stated in a separate document in relation to the specific Product.

4.0. Warranty Holder Obligation

4.1. To be entitled to the rights of the Warranty, the Warranty Holder must use the Product in a proper manner, following the Manual; in case of a malfunction, the Warranty Holder must follow the Manual to take steps to prevent further damage to the Product.

 

4.2. The Warranty Holder must provide SUNGROW service personnel with access to the Site or any special instructions for Site access. SUNGROW will not be held liable if access to the Site is not granted. If a second visit to the Site is required due to lack of access, the warranty holder will bear any costs.

 

4.3. The Warranty Holder is responsible for notifying SUNGROW of any hazards at the Site and ensuring that the site is free of hazards or other conditions that could impede the provision of warranty services.

 

4.4. The Warranty Holder is obligated to provide SUNGROW after-sales personnel with information regarding the operation of the Product, including but not limited to operating hours, repair records, maintenance records, fault logs, and any incidents that may affect the performance of the Product.

5.0. Exclusions

5.1. The Limited Warranty will not cover any products in the following circumstances, or any defects caused by the following circumstances:

a) damage during transportation of the Product;

b) damage to the Product or packaging due to improper storage before installation;

c) not purchased from SUNGROW or an entity expressly authorized by SUNGROW to resell the Product;

d) failure to comply with SUNGROW’s operating instructions, installation guide, and maintenance instructions for the Product;

e) failure to comply with safety regulations concerning the Product;

f) improper installation or commissioning of the Product (e.g., the Product being knocked over or falling) performed by personnel not designated by SUNGROW or its authorized distributors;

g) improper use or misuse of the Product, including accidents and external influences beyond the control of SUNGROW (e.g., lightning);

h) unauthorized repairs to the Product;

i) has been impacted by incidental or consequential damage caused by other components of the electrical system within the Site;

j) removal and reinstallation of the Product at a location other than the original installation location (namely, the Site) without SUNGROW's express written consent;

k) has been subjected, directly or indirectly, to circumstances beyond reasonable control, including, without limitation, acts of God; earthquakes; fires; floods; typhoons; war; civil or military disturbances; acts of terrorism; sabotage; riots; any such circumstances beyond its reasonable control as may cause interruption, loss of function, communication disruption or performance issues (hardware or software); water intrusion; corrosion; infestations; or input voltage outside the parameters listed in the Product specifications, whether from the grid, generators, or lightning strikes;

l) flaws that do not adversely affect the proper functioning of the Product (e.g., cosmetic defects, wear and tear);

m) has been subject to any attempt to alter or remove the original identification markings (including trademark, model number, or serial number);

SUNGROW shall not be liable for indirect, incidental, consequential, or special damages of the failure of the Product in Quality Warranty, including but not limited to, loss of use, loss of profits, loss of production, or loss of revenues.

6.0. Warranty Claim Process

 

6.1. In a case of Defective Product, the End-User shall contact SUNGROW within twenty-four (24) hours via phone, email or SUNGROW GSP (Global Service Platform). Regarding on the details of contact information, End-User could contact SUNGROW after-sale service team. The End-User may also contact the dealer (SUNGROW authorized dealer or distributor) or installer if the product is defective.

 

6.2. End-User shall provide necessary information to SUNGROW including proof of purchase, serial number of the Product, problem description, contact information and/or supporting evidence (such as photo or video) to facilitate the troubleshooting process.

 

6.3. After receiving the Warranty Claim, SUNGROW would respond to it within twenty-four (24) hours and implement temporary solutions with seven (7) working days. SUNGROW is not responsible for any delays caused by factors not attribute to SUNGROW, such as delayed site access or other impediments to the implementation of provisions of warranty service.

 

6.4. SUNGROW may, at its option, delegate the repair work to authorized third-party engineers or service providers as deemed appropriate. All repairs and replacements will be carried out in accordance with SUNGROW's standards and procedures.

 

6.5. SUNGROW reserves the right to determine the methods and forms of repair for the Defective Product. This may include, but is not limited to, the replacement of parts, system upgrades, or other necessary interventions.

7.0. Responsibility for Service Fees

 

7.1. In the case of replacement, the Claimant shall contact SUNGROW and organize the return of the allegedly defective Product to SUNGROW in the proper packaging material, in which the Claimant bear the cost of freight to SUNGROW

 

7.2. SUNGROW will bear the cost of freight of the new or refurbished Product to the End-user.

 

7.3. SUNGROW will not bear any labor costs related to removing the Defective Product or reinstalling the repaired or replacement Product, or any shipping damage.

 

7.4. SUNGROW does not cover any costs related to the removal, installation or troubleshooting of any components of the Claimant’s electrical systems.  

 

7.5. The defective components or product shall be the asset of SUNGROW after the completion of service. The Warranty Holder shall preserve the defective components or product in proper storage conditions until being retrieved by SUNGROW

 

7.6. For services not covered under Warranty, SUNGROW will charge service fees, including equipment costs, installation fees, material costs, shipping fees, travel expenses, and labor costs.

 

7.7. The payment for the service should be paid within THIRTY (30) days after the date SUNGROW’s invoice issued.
